- Website design, development, business platforms, and e-commerce solutions;
- Automation bots and business process automation;
- CRM integration, CRM configuration, and proprietary CRM development;
- API integrations, data synchronization, and custom workflows;

03Proposals and Project Agreements
Before starting a project, Colchis lab may provide the Client with a written proposal, quotation, statement of work, or Service Agreement.
A project becomes binding when the Client signs the agreement, confirms acceptance in writing, pays a deposit, or instructs Colchis lab to begin work.
04Fees, Invoicing, and Payments
All fees will be stated in the applicable proposal, quotation, invoice, or Service Agreement. The Client agrees to pay all invoices according to the agreed payment schedule.
Unless otherwise required by law or expressly agreed in writing, all payments are non-refundable once the relevant work, milestone, reserved capacity, or third-party expense has been incurred.
05Client Responsibilities
The Client agrees to provide all information, content, materials, approvals, access credentials, and technical details reasonably required for the project in a timely manner.
06Intellectual Property
Client Materials: The Client retains ownership of materials, content, trademarks, and documentation provided to Colchis lab.
Custom Deliverables: Ownership of custom-developed project components transfers to the Client after full payment of all amounts due.
Pre-Existing Technology: Colchis lab retains ownership rights in pre-existing technology, reusable code, frameworks, templates, and proprietary CRM core technology.
07Portfolio and Marketing Use
Unless the Client expressly opts out in writing before project commencement, the Client grants Colchis lab LLC the right to display and refer to the completed project in portfolios, case studies, and marketing materials.
08Custom CRM and Software Systems
The Client receives the functionality expressly included in the project scope. Proprietary CRM core technology and reusable components remain owned by Colchis lab.
09Third-Party Services
Services may depend on third-party providers (hosting, APIs, plugins, payment gateways). Third-party services are subject to their own terms and privacy policies.
10SEO and Performance Services
SEO and performance services are provided using professional methods. However, Colchis lab does not guarantee specific search engine rankings or traffic figures.
11Website Launch and Acceptance
The Client must review delivered work and report material issues within seven calendar days of delivery or launch unless otherwise specified in the project agreement.
12Confidentiality
Each party agrees to protect the other party's confidential information and use it only for the purposes of performing or receiving the Services.
13Personal Data and Privacy
The processing of personal data is described in our separate Privacy Policy. The Client must ensure a lawful basis for all supplied personal data.
14Warranties and Disclaimers
Services are provided on an "as available" and "as is" basis with reasonable skill and care, except as expressly stated in a written agreement.
15Limitation of Liability
To the maximum extent permitted by law, Colchis lab's total liability will not exceed the total amount actually paid by the Client to Colchis lab for the specific Services during the preceding six months.
16Client Indemnity
The Client agrees to defend, indemnify, and hold harmless Colchis lab from claims arising from Client materials, breach of terms, or unlawful use of Services.
17Suspension and Termination
Colchis lab may suspend or terminate Services immediately for unpaid invoices, material breaches, or illegal/abusive conduct.
18Force Majeure
Neither party will be liable for delay or failure caused by events outside reasonable control, such as natural disasters, cyberattacks, or network failures.
19Changes to These Terms
Colchis lab may update these Terms from time to time by publishing the updated version on the website.
20Governing Law and Disputes
These Terms are governed by the laws of Georgia. Any unresolved dispute will be submitted to the competent courts of Georgia.
21General Provisions
If any provision is found invalid, remaining provisions remain effective. These Terms constitute the entire agreement concerning the relevant Services.

23Cookie Consent Service (Colchis)
23.1 What it is. The Colchis Cookie Consent plugin (the "Plugin") is a free WordPress plugin released under the GNU General Public License, version 2 or later (GPL v2 or later). The optional Colchis service (the "Service") consists of the dashboard at app.colchislab.com, the API at api.colchislab.com and the script server at cdn.colchislab.com. The Service is provided by Colchis lab LLC, a limited liability company registered in Georgia under identification number 405882674, with its registered address at Giorgi Shatberashvili Street No. 12, Apartment No. 1, Vake District, Tbilisi, Georgia ("ColchisLab").
23.2 The Plugin works without the Service. After activation, the Plugin displays its banner and blocks trackers using files stored on the Client's own website. It does not contact ColchisLab's servers unless the Client enables "Connect this site to the Colchis service" in the Plugin settings. On new installations, this connection is disabled by default.
23.3 Connecting a website. The Client may connect a website only if the Client owns it or is authorised to manage it. The domain is verified by a DNS record, a file or a meta tag placed on the website. The Client is responsible for entering the correct domain and keeping account credentials secure.
23.4 Data protection roles. For visitor consent records processed through the Service on behalf of a Client, the Client acts as controller and ColchisLab acts as processor, subject to the actual purposes and means of processing. The parties' processing obligations are governed by the applicable data processing agreement ("DPA"), which ColchisLab provides to the Client on request. ColchisLab acts as controller for personal data it processes for its own account administration and related business operations.
23.5 No legal advice or compliance guarantee. The Plugin and the Service are tools and do not constitute legal advice. The Plugin is designed to stop known trackers and embeds from loading until the visitor has given consent, and ColchisLab maintains and updates the list of known trackers. This helps a Client meet its obligations, but the Client remains responsible for configuring the banner, selecting categories and wording, identifying trackers and embeds used on the Client's website that are not recognised, and maintaining the website's privacy and cookie notices. Neither the Plugin nor the Service guarantees that a website complies with the GDPR, ePrivacy rules, UK GDPR, CCPA or any other law.
23.6 Consent log and retention. When the website is connected to the Service, the Service stores visitor choices as consent records. The fields processed are described in the Privacy Policy. Consent records are retained for 12 months from the visitor's choice on the Free and Basic plans and for up to 5 years on the Pro and Business plans, according to the applicable plan settings. The Client can export consent records as a CSV file. When the Client removes a domain from the account, the consent records associated with that domain are deleted automatically. Backup copies may remain for the backup retention periods described in the Privacy Policy.
23.7 Availability. The Service runs on infrastructure provided by Hetzner Online GmbH in Germany, which currently commits to use commercially reasonable efforts to maintain 99.9% monthly availability for each server. For websites on paid plans, ColchisLab additionally commits to 99.5% monthly availability of the Service itself (the API and the dashboard). Scheduled maintenance announced at least 24 hours in advance, failures caused by the Client's own website or hosting, and events outside ColchisLab's reasonable control do not count as downtime. If ColchisLab does not meet this commitment in a calendar month, the Client may request, within 30 days after the end of that month, a credit of that month's fee for the affected domain; this credit is the Client's sole remedy for missed availability. The free plan has no availability commitment, and no other service-level agreement or uptime commitment applies unless expressly agreed in writing. The banner does not depend on the Service being reachable: if the Service is unavailable, the Plugin continues to display the banner and block trackers using the settings stored on the Client's own website. Choices made while the Service is unavailable may not be recorded in the consent log.
23.8 Acceptable use. The Client must not use the Service to mislead visitors or improperly influence their consent choices, including by making consent and rejection options misleadingly unequal; to load tracking technologies before consent where doing so would violate applicable law; to attack, disrupt or overload the Service; or to connect a website the Client is not authorised to manage.
23.9 Fees and plans. The Plugin is free. The Service offers a free plan and paid Basic, Pro and Business plans, billed per connected domain on a monthly or yearly basis. Current prices, plan features and limits will be published on the ColchisLab website before paid plans are offered. On the free plan, a small "Powered by ColchisLab" text credit may appear inside the cookie settings window; it is not a link and does not appear on the banner itself. Paid plans remove this credit. On a website not connected to the Service, no ColchisLab credit is displayed unless the Client enables it in the Plugin settings; that setting is disabled by default. Material changes to prices, plan limits or Service functionality will be communicated to affected Clients in advance where reasonably practicable. Price changes will not apply retroactively to a billing period already paid for.
23.10 Disconnection and suspension. The Client may disconnect a website at any time by disabling the Service connection in the Plugin settings. The banner can then continue to operate without the Service, but Service-dependent features, including remote consent logging, will no longer be available. ColchisLab may suspend or restrict access where reasonably necessary to address a material breach of section 23.8, security risk or misuse. Where practicable, ColchisLab will provide notice and an opportunity to remedy the issue.
23.11 Liability and governing law. The Terms' existing provisions on warranties, liability, indemnity and governing law apply to the Plugin and Service, subject to any mandatory rights or protections that cannot lawfully be excluded or limited.
